Procedure at Conclusion of Auction:

1. At the close of bidding, the highest bid will be presented to the Seller.

2. If the Seller accepts the high bid (or a negotiated price), the high bidder (“Purchaser”) will be required to immediately execute a Purchase Agreement and deposit 10% earnest money with the auction company.

3. The fully executed Purchase Agreement and terms of sale will then be delivered to the holder of the First Right to Purchase, as required under the recorded agreement.

4. The Right Holder will have 60 days from receipt of the written notice and purchase terms to exercise their right by matching the high bid and sale terms.

5. If the Right Holder exercises this right within the 60-day period:

a. The Purchaser’s earnest money will be returned in full.

b. The transaction will proceed between the Seller and the Right Holder under the matched terms.

6. If the Right Holder does not exercise the option within the 60-day period, the sale will proceed to closing under the terms of the Purchase Agreement with the Purchaser.
